MyOPIP – Terms of Service

Overview

These Terms of Service (“Terms”) govern access to and use of the MyOPIP electronic medical record (EMR) software platform, including the website myopip.com, mobile applications, APIs, and related services (collectively, the “Service”), provided by MyOPIP (“Company”, “we”, “our”, or “us”).

By accessing or using the Service, you (“Customer”, “User”, “you”) agree to be bound by these Terms. If you do not agree, you must not use the Service.

01 Definitions

  • Service – The MyOPIP EMR software, including web portal, mobile apps, APIs, integrations, and related infrastructure.
  • Customer – A healthcare provider, clinic, hospital, or organization subscribing to the Service.
  • Authorized Users – Employees, doctors, nurses, or staff permitted by Customer to use the Service.
  • Patient Data – Any information relating to identifiable individuals entered into the system, including medical records.
  • Subscription – Paid access plan for use of the Service.
  • Content – Data uploaded or generated by users within the Service.

02 Eligibility

You must:

  • Be at least 18 years old
  • Be legally authorized to provide healthcare services where applicable
  • Use the Service in compliance with applicable laws

Healthcare providers are solely responsible for ensuring they are licensed in their jurisdiction.

03 Nature of Service

MyOPIP provides:

  • Electronic Medical Records (EMR)
  • Appointment management
  • Prescription generation
  • Clinical documentation
  • Billing and administrative features
  • Patient communication tools
  • Data storage and retrieval
MyOPIP does NOT provide medical advice. All clinical decisions remain the responsibility of healthcare professionals.

Artificial intelligence

The Service may include AI-assisted features. AI-generated output—including summaries, suggestions, clinical text, or structured data—may be incorrect, outdated, incomplete, or otherwise unreliable. You must independently verify all such information before relying on it in diagnosis, treatment, prescribing, or any aspect of patient care.

This applies in particular to AI-generated advice relating to medications, including drug selection, dosages, routes, frequencies, and interactions. You must confirm such information against authoritative sources such as approved product labeling, institutional protocols, standard formularies, and established clinical reference texts; AI output does not replace independent professional judgment or verification against those standards.

04 Subscription & Billing

4.1 Subscription Plans

  • The Service is offered on monthly or annual subscription basis.
  • Features vary by plan.
  • Pricing is published on the website or agreed in writing.

4.2 Payment Terms

  • Fees are payable in advance.
  • Payments are non-refundable except where required by law.
  • Taxes (including GST or VAT) are additional where applicable.
  • Failure to pay may result in suspension.

4.3 Auto-Renewal

Subscriptions automatically renew unless cancelled before renewal date.

4.4 Cancellation

  • Customers may cancel anytime.
  • Service continues until end of billing cycle.
  • No partial refunds unless legally mandated.

05 User Accounts

Customers are responsible for:

  • Maintaining confidentiality of credentials
  • All activity under their accounts
  • Ensuring authorized use only
  • Verifying AI-generated or AI-assisted content—including dosing and clinical suggestions—before use in patient care, against appropriate authoritative references

You must notify us immediately of unauthorized access.

06 Acceptable Use

You agree NOT to:

  • Use Service for unlawful purposes
  • Upload malicious code
  • Attempt unauthorized access
  • Reverse engineer the platform
  • Use system for non-healthcare spam messaging
  • Store illegal or prohibited data

We may suspend accounts violating these rules.

07 Data Ownership

  • Customer retains ownership of all Patient Data
  • MyOPIP acts as a data processor
  • Customer is the data controller under applicable laws

We do not claim ownership of medical records.

08 Data Protection & Security

8.1 Security Standards

  • Encryption in transit (TLS 1.2+)
  • Encryption at rest (AES-256 or equivalent)
  • Role-based access control
  • Audit logs
  • Secure authentication mechanisms
  • Regular security updates

8.2 Compliance Frameworks

Designed to align with:

  • Indian IT Act 2000 (and amendments)
  • Digital Personal Data Protection Act (India)
  • HIPAA-aligned security principles (where applicable)
  • GDPR principles for international users
  • ISO 27001-aligned operational practices (where feasible)

8.3 Data Location

Data may be stored in secure cloud infrastructure across regions. We ensure appropriate safeguards for cross-border transfers.

10 Data Retention & Export

  • Data remains available during active subscription
  • Customers may export data in supported formats
  • After termination, data retained for 30–90 days for retrieval
  • Thereafter data may be permanently deleted

Extended retention may be available on request.

11 Availability & Uptime

We aim for:

  • 99% uptime target (excluding maintenance)
  • Scheduled maintenance notifications
  • Disaster recovery procedures

However, service interruptions may occur.

12 Third Party Services

Service may integrate with:

  • Messaging providers
  • Payment gateways
  • Cloud hosting providers

MyOPIP is not responsible for third-party service outages.

13 Intellectual Property

All rights to:

  • Software
  • UI design
  • Documentation
  • APIs

remain with MyOPIP.

You receive a limited, non-transferable license to use the Service.

14 Confidentiality

Both parties agree to keep confidential:

  • Patient data
  • Business information
  • Technical details

This obligation survives termination.

15 Limitation of Liability

To the maximum extent permitted by law:

MyOPIP shall not be liable for:

  • Clinical decisions
  • Loss of profits
  • Indirect damages
  • Data entered incorrectly by users
  • Reliance on AI-generated content—including dosing or other clinical suggestions—without independent verification against appropriate authoritative sources

Total liability is limited to fees paid in last 12 months.

16 Indemnification

Customer agrees to indemnify MyOPIP against:

  • Misuse of system
  • Regulatory violations
  • Unauthorized data entry
  • Medical negligence claims

17 Termination

We may suspend or terminate:

  • For non-payment
  • For policy violations
  • For legal requirements

Customer may terminate anytime.

18 Regulatory Compliance

Customer agrees to comply with:

  • Medical council rules
  • Prescription regulations
  • Telemedicine guidelines (where applicable)
  • Data privacy laws in their jurisdiction

19 International Use

Users outside India:

  • Must ensure local law compliance
  • Are responsible for cross-border data transfer legality
  • Agree Indian jurisdiction unless otherwise agreed

20 Updates to Terms

We may update Terms periodically. Continued use constitutes acceptance.

21 Force Majeure

We are not liable for:

  • Natural disasters
  • Government restrictions
  • Internet outages
  • Cloud provider failures

22 Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

Jurisdiction: Courts of Kochi, Kerala, India.

For international customers, disputes may be resolved via arbitration.

23 Dispute Resolution

  • Attempt amicable resolution first
  • If unresolved, arbitration under Indian Arbitration Act
  • Language: English

25 Entire Agreement

These Terms constitute the entire agreement between Customer and MyOPIP.

27 Beta Features

  • May be unstable
  • Provided “as-is”
  • No uptime guarantee

28 Data Breach Notification

In the event of a confirmed breach:

  • Customers will be notified
  • Investigation initiated
  • Mitigation steps taken

29 Backup & Disaster Recovery

  • Regular automated backups
  • Encrypted backup storage
  • Disaster recovery procedures

Customers should also maintain exports where required by law.

30 Electronic Communications

You consent to receive:

  • Billing emails
  • Service notifications
  • Security alerts

31 Severability

If any clause is invalid, remaining clauses remain enforceable.

By using MyOPIP, you acknowledge that you have read and agree to these Terms.
